Corporate & M&A Advisory

Strategy. Structure. Transaction.

We advise companies, investors and family offices where decisions carry consequences: buying and selling businesses, building structures that hold, and raising capital. From the first assessment through to completion, in one pair of hands.

Services

Advisory where strategy, governance and capital meet.

Six fields that rarely appear in isolation. A seller needs a structure that survives diligence. A company raising capital needs a story the numbers support. We think these fields together and own the outcome.

Corporate & M&A Advisory

Acquisitions, disposals and equity stakes, from the first indication through diligence and valuation to negotiation and closing. We run the process, hold the threads together and sit at the table.

Governance & Structuring

Shareholder structures, holding architecture, corporate bodies and contracts. Legally robust, commercially decided, designed with the next generation in mind.

Investor Communication

Equity story, documentation and negotiation with investors, banks and family offices. Clear in its message, sound in its numbers, credible in the room.

Market & Technology Evaluation

Assessment of markets, business models and technologies as the basis for investment, entry and scaling decisions. Not a report for the drawer, but a paper you can decide on.

Real Estate & Concepts

Acquisition, disposal and letting as well as market-based use and realisation concepts, including their implementation. Excluding activities requiring a licence under German trade law.

Investments & Assets

Holdings in other companies in our own name and for our own account, and the structured management of our own assets. We know both sides of the table.

Approach

Understand. Structure. Set in motion.

Complexity rarely comes from the subject itself. It comes from the number of parties involved and the number of open questions. Our work is to order both until a decision becomes possible.

Analysis

A precise account of the starting position, the objectives and the value drivers. What is missing gets named, not glossed over.

Structuring

Structures, contracts and governance that survive the stress test: in diligence, in front of the bank, among shareholders.

Execution

Negotiation, management and completion. One counterpart who is in the room when the decision is made.

Mandates

What working together looks like in practice.

Three typical starting positions clients bring to us. They show how we work and what we expect to be measured against.

Succession and sale

Selling a mid-sized company

Starting position
The managing shareholder wants to settle succession. No buyer has been identified and the figures are not prepared for a sale process.
Task
Establish sale readiness, approach the buyer universe, run the process, support negotiations through to closing.
Outcome
A transaction the shareholder can stand behind, with liability settled and succession secured inside the business.
Structure and governance

Reorganising a family holding

Starting position
Holdings grown over decades, unclear responsibilities, contracts from different eras.
Task
Rebuild the holding architecture, define bodies and decision paths, align the shareholder agreements.
Outcome
A structure that enables decisions rather than blocking them, and that carries the transfer to the next generation.
Capital and growth

Financing a growth step

Starting position
A sound business model and a defined investment need, but no documentation that holds up in front of capital providers.
Task
Sharpen the equity story, build the documentation, approach capital providers, lead the conversations and negotiations.
Outcome
Capital on terms that preserve entrepreneurial room to manoeuvre.

The situations described are typical mandate scenarios. We do not name individual mandates for reasons of confidentiality; comparable cases can be discussed in person on request.

Leadership

Dipl.-Jur. Thomas Malassa

Managing Partner

Thomas Malassa leads Magni Advisory GmbH as managing partner. His training as a Diplom-Jurist shapes how the firm works: facts are ordered before they are judged, and a structure only counts as good once it holds in the unfavourable case.

In advisory work he combines that view with commercial judgement. Clients value that questions of liability, shareholder structure and negotiating position are answered inside the mandate rather than passed to third parties.

Alongside the advisory practice he is responsible for the firm's second business field, the marketing of selected AI solutions across the German-speaking region.
